Terms of Service

IMPORTANT: PLEASE READ CAREFULLY

TARA Labs Ltd ("TARA," "Company," "we," "us," or "our") provides non-custodial digital wallet software using multi-party computation (MPC) technology. We are not a bank, custodian, broker-dealer, money transmitter, or financial institution. We are a technology company that provides software enabling you to manage your own digital assets and, if you independently choose, to connect with regulated third-party service providers for additional services such as custody, card issuance, and fiat conversion.

By using our Platform, you agree to these Terms. If you don't agree, don't use the Platform.

1. Who We Are

1.1 TARA Labs Ltd is a Bermuda company (Registration No. 202504898) located at Rosebank Centre, 5th Floor, 11 Bermudiana Road, Pembroke HM 08, Bermuda.

1.2 We provide technology—specifically, software interfaces and tools. We do not:

1.3 No Fiduciary Relationship. Nothing in these Terms creates any fiduciary, advisory, agency, trust, or similar relationship between you and TARA. We do not act as your agent, trustee, advisor, or fiduciary in any capacity.

1.4 Technology Provider. Our role is limited to providing software that enables you to: (a) manage your non-custodial MPC wallet; (b) view and interact with your accounts at third-party service providers you have independently chosen to use; and (c) transmit your instructions to those service providers through our interface.

2. How Our Wallet Works

MPC Technology Explained

2.1 Our wallet uses multi-party computation (MPC), which means your private key is never stored in one place. Instead, cryptographic key shares are distributed across multiple parties. No single party—including TARA—holds enough information to access or move your funds without your authorization.

2.2 Unlike traditional wallets, you won't receive a seed phrase to write down. Your wallet access is tied to your verified identity through factors established during registration, which may include your email, government ID, biometrics, or device credentials.

2.3 No Custody Through Identity Verification. Identity verification is used solely to authorize your cryptographic participation in MPC signing. It does not grant TARA unilateral access, control, or discretionary authority over your Digital Assets.

What This Means for You

2.4 You control your assets through authenticated access to the Platform. Transactions require your authorization and cannot be executed by TARA alone.

2.5 Recovery depends on verifying your identity through your registered credentials. If you lose access to all your identity verification factors, recovery may be impossible. We cannot recover your wallet through a seed phrase because none exists.

2.6 You are responsible for maintaining access to your registered email and identity credentials, keeping your verification factors secure and up to date, and verifying all transaction details before authorizing.

3. External Services — General Provisions

3.1 Our Platform may be technically compatible with services operated by independent third parties ("External Services"), including custodial services, card issuance services, currency conversion services, and fiat settlement services. We do not offer, recommend, endorse, or solicit any External Services.

3.2 If you independently choose to connect to External Services:

3.3 We are not an agent, partner, affiliate, or representative of any External Service Provider. Technical compatibility is not endorsement.

3.4 Commission Disclosure. We may receive commissions, referral fees, or other compensation from External Service Providers when you use their services through the Platform. Such arrangements may influence which External Services are technically integrated with the Platform. This compensation does not constitute a recommendation or endorsement of any External Service. Fees charged by TARA and fees charged by External Service Providers are displayed separately within the Platform interface where applicable.

3.5 External Service Suspension. At the request of External Service Providers (including for regulatory compliance, risk management, or policy enforcement), or to comply with applicable law, we may suspend or terminate your access to specific External Services through the Platform. Such suspension does not affect your ability to manage your on-chain Digital Assets through your MPC wallet as described in Section 13.

3.6 We expressly disclaim all liability for: losses arising from External Services; acts, omissions, negligence, or insolvency of External Service Providers; regulatory actions affecting them; their security breaches; disputes between you and them; and any changes to, suspension of, or discontinuation of their services.

4. Card Services — Specific Provisions

IMPORTANT: Card Services involve External Service Providers operating in their respective regulated capacities. By using Card Services features, you acknowledge that you have separately agreed to terms with the relevant External Service Providers and that those agreements govern your relationship with them.

Overview

4.1 The Platform may display functionality related to payment card services. These services involve:

4.2 TARA's role is limited to providing software that displays information from, and transmits your instructions to, these External Service Providers. We do not hold your assets, issue cards, or execute conversions.

How Card Services Work

4.3 Custodial Deposits. If you choose to use Card Services, you must first establish an account with the Custodian under their separate terms. Any Digital Assets you deposit with the Custodian are held by them—not by TARA.

4.4 Card Issuance. Payment cards ("TARA Card" or "Card") are issued by the Card Issuer, not by TARA. Card issuance is subject to the Card Issuer's approval and separate terms.

4.5 Card Transactions and Settlement. When you use your Card for purchases or withdrawals, you authorize the Custodian to convert and deduct the necessary amount from your custodial balance and to settle those transactions on your behalf. The Custodian performs all conversion and settlement functions. TARA does not hold or move your assets.

4.6 Conversion Rates and Fees. Conversion of Digital Assets to fiat currency is performed by the Custodian at rates determined by them. We display conversion information provided by the Custodian but do not control or guarantee conversion rates.

4.7 Card Limits. Transaction limits, daily limits, and other restrictions on Card use are established for the TARA Card program and displayed within the Platform.

Card Management Through the Platform

4.8 The Platform may enable you to view Card details, balances, and transaction history; request Card issuance or cancellation; modify Card settings; enable or disable the Card; and initiate deposits to or withdrawals from your custodial account.

4.9 When you take any action through the Platform related to Card Services, you are instructing the relevant External Service Provider to take that action. We transmit your instruction; we do not execute it.

ATM Withdrawals

4.10 Physical Cards may be used for cash withdrawals at compatible ATMs, subject to applicable limits and fees. ATM operators may charge additional fees. We are not liable for ATM unavailability, transaction failures, or fees charged by ATM operators.

Disputes and Chargebacks

4.11 If you have a dispute about a Card transaction or need to request a chargeback, contact us at support@taralabs.io. We will assist in resolving the dispute or forward your request to the relevant External Service Provider for processing. Dispute resolution is subject to applicable card network rules. Fees may apply for chargeback processing.

4.12 We are not liable for outcomes related to disputes or chargeback requests.

4.13 By using Card Services features, you acknowledge that:

5. Eligibility

5.1 To use the Platform, you must be at least 18 years old (or your jurisdiction's age of majority), have legal capacity to enter contracts, not be in a Restricted Location or on any sanctions list, not have been previously suspended from the Platform, and comply with all applicable laws regarding digital assets.

5.2 To use Card Services features, you must additionally meet any eligibility requirements imposed by the relevant External Service Providers.

5.3 "Restricted Locations" include jurisdictions under comprehensive US, EU, or UN sanctions, and anywhere our services would require licensing we don't hold. We may update this list without notice.

5.4 It's your responsibility to ensure your use is legal in your jurisdiction.

6. Your Account

6.1 You must provide accurate, current, and complete information during registration. Your identity verification factors are critical to wallet recovery—keep them secure and updated.

6.2 You're responsible for all activity under your account, maintaining access to your registered email and verification factors, device security, and immediately notifying us of unauthorized access at support@taralabs.io.

6.3 If you lose access to your verification factors, we may be unable to help you recover your MPC wallet. This could result in permanent loss of assets in your non-custodial wallet.

6.4 You may only maintain one TARA account at a time.

7. Prohibited Activities

7.1 You agree not to use the Platform for illegal activity (money laundering, terrorist financing, fraud, sanctions evasion), transactions involving illegal proceeds, providing false or misleading information, interfering with or disrupting the Platform, attempting unauthorized access, reverse engineering, transmitting malware, circumventing security measures, or any activity we determine poses security risks or legal exposure.

7.2 Prohibited categories include: weapons, controlled substances, counterfeit goods, darknet markets, Ponzi/pyramid schemes, illegal gambling, and adult content.

7.3 External Service Providers may have additional prohibited activity policies.

8. Intellectual Property

8.1 All IP rights in the Platform belong to us or our licensors. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Platform for personal, non-commercial purposes.

8.2 You may not modify, copy, distribute, sell, or create derivative works from the Platform without our written consent.

8.3 Any feedback you provide becomes ours to use without compensation or attribution.

9. Privacy

9.1 Your use is subject to our Privacy Policy, incorporated here by reference.

9.2 Blockchain transactions are public and permanent. Once broadcast, transactions cannot be reversed, and data like wallet addresses and amounts may be visible to anyone.

9.3 External Service Providers have their own privacy policies. We may share information with External Service Providers as necessary to facilitate services you have requested.

10. Disclaimers

10.1 "AS IS" PROVISION. THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

10.2 No Financial Advice. Nothing here is financial, investment, tax, or legal advice.

10.3 Digital Asset Risks. You acknowledge that digital asset values are volatile and may become worthless, blockchain networks may fail or experience congestion, regulations may change, transactions are irreversible, and loss of identity verification factors may mean permanent asset loss.

10.4 External Service Risks. You acknowledge that External Service Providers may become insolvent, lose regulatory approval, or cease operations; assets held by Custodians may be lost, stolen, or frozen; Cards may be declined or cancelled; and conversion rates may fluctuate.

10.5 No Insurance. Your assets in your MPC wallet are not covered by deposit insurance or investor protection schemes.

11. Tax Responsibilities

11.1 You are solely responsible for determining and fulfilling all tax obligations arising from your use of the Platform and any transactions involving Digital Assets, including reporting requirements and tax payments.

11.2 We do not provide tax advice.

12. Limitation of Liability

12.1 TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR DIGITAL ASSETS.

12.2 Our total liability shall not exceed the greater of: (a) USD $100; or (b) fees you paid directly to us in the preceding 12 months.

12.3 We are specifically not liable for: loss of access due to lost identity verification factors, unauthorized transactions from compromised credentials, digital asset value fluctuations, blockchain network failures, acts or omissions of External Service Providers, Card transaction issues, currency conversion rates, regulatory actions, or force majeure events.

13. Indemnification

You agree to indemnify and hold harmless TARA, its affiliates, officers, directors, employees, and agents from claims, damages, losses, and expenses (including legal fees) arising from your use of the Platform, breach of these Terms, violation of law, use of External Services, instructions you transmit, transactions you authorize, and disputes with External Service Providers.

14. Termination

14.1 Platform Access. We may suspend or terminate your access to the Platform at any time, for any reason, with or without notice.

14.2 External Services Access. At the request of External Service Providers or for compliance purposes, we may suspend or terminate your access to specific External Services through the Platform.

14.3 On-Chain Asset Control. Termination of your Platform access does not affect your ability to control your on-chain Digital Assets through the MPC signing process, provided you maintain access to your identity verification factors.

14.4 Custodial Assets. Assets held by External Service Providers are subject to their terms, not ours. If your TARA account is terminated, contact External Service Providers directly regarding assets held by them.

14.5 User Termination. You may stop using the Platform at any time. To close your account, contact support@taralabs.io.

14.6 Survival. Sections 1.3, 3, 4.13, 8, 10, 11, 12, 13, 15, and 16 survive termination.

15. Disputes

15.1 Disputes with External Service Providers. Disputes regarding services provided by External Service Providers must be resolved directly with those providers under their dispute resolution procedures.

15.2 Disputes with TARA. For disputes regarding the Platform or these Terms, contact us first at legal@taralabs.io. We'll negotiate in good faith for at least 30 days.

15.3 Arbitration. Unresolved disputes with TARA go to binding arbitration at the Bermuda International Conciliation and Arbitration Centre (BICAC) in Hamilton, Bermuda, in English, before a single arbitrator.

15.4 CLASS ACTION WAIVER. YOU AND TARA EACH WAIVE THE RIGHT TO PARTICIPATE IN CLASS ACTIONS OR CLASS ARBITRATIONS.

16. General

16.1 Governing Law. These Terms are governed by Bermuda law.

16.2 Entire Agreement. These Terms (plus our Privacy Policy) constitute our complete agreement regarding the Platform. Your use of External Services is governed by your separate agreements with those providers.

16.3 Amendments. We may modify these Terms by posting updates. Material changes will be notified through the Platform or email. Continued use constitutes acceptance.

16.4 Severability. Invalid provisions will be modified minimally or severed; the rest remains in effect.

16.5 Waiver. Our failure to enforce a provision isn't a waiver.

16.6 Assignment. You can't assign these Terms without our consent. We can assign freely.

16.7 Force Majeure. We're not liable for failures due to causes beyond our control.

16.8 Third Party Rights. No person other than you and us has rights under these Terms.

16.9 Notices. We may notify you via email or the Platform. Contact us at legal@taralabs.io.

16.10 Language. English controls.

17. Definitions

"Card" or "TARA Card" — A payment card issued by the Card Issuer that may be used for purchases and ATM withdrawals at merchants and terminals accepting the applicable card network.

"Card Issuer" — The External Service Provider that issues Cards under applicable card network rules.

"Card Services" — Services related to custodial accounts, card issuance, card transactions, currency conversion, and settlement.

"Custodian" — The External Service Provider that holds Digital Assets in custodial accounts and performs conversion and settlement functions.

"Digital Assets" — Cryptocurrencies, tokens, and other blockchain-based representations of value.

"External Services" — Services operated by independent third parties that may be accessed through the Platform.

"External Service Provider" — Any third-party operator of External Services.

"MPC" (Multi-Party Computation) — Cryptographic technology distributing key shares across multiple parties so no single party can access funds alone.

"Platform" — All TARA software, applications, websites, and interfaces.

"Restricted Location" — Jurisdictions where Platform use is prohibited or would require licensing we don't hold.

"Supported Networks" — The blockchain networks currently supported by the Platform, as published on our website.
